Incentive Fee Terms Tracker — 2025-26 annual reports

Carry mechanics as written into a primary filing: the incentive fee rate on income, the hurdle, the catch-up, the capital gains fee, and the look-back — read out of business development company annual reports, one row per fund, each linking to the filing it came from.

Why this dataset and not a survey

Almost every carry benchmark in circulation traces back to a recruiter survey or a vendor blog whose sample and method cannot be checked. This one does not. Every figure below was read out of an annual report filed with the SEC, and every fund row links to the filing it came from.

The short answer

Across 177 business development companies that filed an annual report with the SEC in 10-K filings, 1 July 2025 – 30 June 2026, the median incentive fee on income was 12.5% (interquartile range 12.5% to 17.5%, n=95). The single most common rate was 12.5%, written by 40 of the 95 funds that stated one. The median quarterly hurdle was 1.50% (n=98). 129 of the 170 externally managed funds carried a catch-up, 102 of them a full 100% catch-up, and 38 carried a total-return or cumulative-loss look-back. 7 funds in the universe are internally managed and pay no incentive fee at all. These are permanent-capital vehicles under a mandated fee-disclosure regime; they are not a proxy for private fund LPA terms, and nothing here is extrapolated beyond the 177 funds in the sample.

Carry has a convention, and it is not twenty

The most common incentive fee rate on income across the funds that stated one, written by 40 of them (42%). A median smooths this into a number no agreement contains; the rates funds actually wrote are listed in full below.

The hurdle is quarterly, and it gets quoted annually

Median hurdle per quarter across 98 funds. The figure that circulates is usually the annualized one, and the two get swapped in both directions — so this tracker records each only where the filing prints it, and never multiplies one to produce the other.

The catch-up is almost always a full one

102 of 170 externally managed funds state a catch-up that pays the adviser 100% of income in the catch-up band. 129 carry a catch-up of any kind. A partial catch-up is the exception in this universe, not the split-the-difference norm the negotiation literature describes.

Look-backs are common enough to be a term, not a courtesy

38 of 170 fee-paying funds carry a total-return test, an incentive fee cap, or a cumulative-loss look-back that can claw an accrued fee back. Presence is read only from a defined term in the agreement, so this is a floor.

Frequency, not central tendency. A median across a market with two conventions produces a rate no agreement contains, so the rates are listed as they appear and counted.

The base management fee rates funds actually wrote

The same cut on the base fee. Read as an annual rate on whatever base the agreement names — gross assets, total assets or net assets — which is not the same denominator across funds and is stated in each matched sentence.

The rate is comparable across funds; the asset base it applies to is not. A 1.50% fee on gross assets and a 1.50% fee on net assets are different fees, and the dataset records the sentence that says which.

The quarterly hurdles funds actually wrote

Stated per quarter, because that is how the agreements state it. Where a filing also prints the annualized equivalent it is recorded separately; where it does not, this tracker leaves the annual figure empty rather than multiplying by four.

Every measure is reported against the 170 externally managed funds. The 7 internally managed funds in the universe pay no adviser, so counting them as non-disclosure would turn a structural fact into a data gap.

How often each term was stated at all

The honest denominator. A rate absent from this dataset is usually absent from the filing in language the parser recognises, and this table says how often that happened for each field.

What this does not cover

A BDC is a permanent-capital vehicle whose fee terms are set under a mandated disclosure regime and approved annually by a board with independent directors. A private equity or venture fund is a finite-life partnership whose economics are negotiated once, in a document nobody files. They are different instruments, and this dataset is not a proxy for private fund LPA terms. No figure here should be read as describing what a private fund charges.

Nothing has been extrapolated beyond the 177 funds in the sample. Distributions are suppressed below n=5, a rate is only listed as a convention when at least 2 funds wrote it, and shares are always reported against the full fee-paying denominator rather than against the subset that happened to state a given term.

The tracker reports what the agreements say, not what the advisers were paid. Fee waivers are flagged where a filing states one, but the tracker does not net a waiver off a stated rate, and it does not read dollar amounts of fees accrued or paid.

Methodology

Why business development companies

Carry mechanics are stated numerically in almost no primary public document. A private fund's limited partnership agreement is not filed, and the carry and compensation figures in general circulation trace back to recruiter surveys and vendor blogs whose sample, method and field year usually cannot be checked. This tracker exists because there is one exception, and this is it.

A business development company is a closed-end fund that has elected regulation under the Investment Company Act. Its adviser's compensation is subject to a statutory disclosure and approval regime, so its annual report prints the incentive fee rate on income, the hurdle, the catch-up, the capital gains fee and any look-back in plain numbers — inside a document with an accession number that anyone can open.

The universe

Every company with a Form N-54A business development company election on EDGAR that filed a Form 10-K in the window, one filing per company — the most recent 10-K in the window. Membership is structural: 365 companies have a Form N-54A election on file in EDGAR full-text coverage, and 177 of them filed a 10-K between 2025-07-01 and 2026-06-30. 188 companies were excluded, each with its reason recorded in the dataset — most of them because they filed no annual report in the window, and some because they had withdrawn the election on Form N-54C.

Of the 177 funds in the universe, 170 are externally managed and pay an adviser, and 7 are internally managed and pay no advisory or incentive fee at all. The internally managed funds stay in the universe and are reported as a finding. They are excluded only from the fee denominators, because a fund with no adviser is not a fund that declined to disclose its adviser's rate.

EDGAR full-text search reaches back to 2001. A company that elected before 2001 and never re-elected is therefore outside the election frame. That is a stated boundary of this universe rather than a silent gap, and it is the one place where the frame is narrower than the population.

How terms were extracted

Each annual report is converted to plain text and read by pattern parsers that record both the value and the sentence it came from. The stored excerpt is anchored on the number rather than on the start of the pattern, so every figure in the dataset can be checked against the sentence printed beside it without opening the filing.

Nothing is computed. A quarterly hurdle is not multiplied by four to produce an annual one; where a filing prints only the quarterly rate, the annual field stays empty. Where a filing states only a change — an agreement amended to reduce a fee from one rate to another — the new rate is taken and the old one is never read as current.

These are keyword-and-shape parsers, not a legal reading of an advisory agreement. A term described in unusual language records as absent, so every presence rate here is a floor and never a ceiling.

What the parsers get wrong, and what stops them

Four traps were found by reading parser output against the filings, and each now has a fixture test built from the real filing text. The capital gains fee rate sits one clause from the income fee rate and reads as it if nothing separates them. A quarterly hurdle of 1.75% and its annualized 7.00% are each other's most available wrong answer, so a stated annual rate that does not reconcile to four times the stated quarterly rate is discarded rather than published.

A fee rate recited from a superseded agreement looks exactly like a current one and sits in the same section, so a candidate whose own sentence carries an amendment date or pro-forma language is thrown away. And every prospectus carries a worked example with invented income figures printed beside the real hurdle — read from there, this tracker would publish an assumed return as a negotiated term, so worked-example language disqualifies a candidate outright.

Two more are structural rather than textual. An internally managed BDC that owns an asset manager describes in its own annual report the fee schedule it CHARGES other funds; the parser detects internal management first and never reads a fee for such a fund. And a risk factor noting that an adviser "may earn an incentive fee even in a quarter in which we incur a loss" describes the absence of a look-back, so presence is read only from a defined term in the agreement and never from a bare mention.

Reproducing it

The pipeline is scripted end to end: build the election frame, select each company's annual report, fetch, parse, aggregate. Search results, per-company filing selections, XBRL total-asset facts, and per-filing extracts with their matched sentences are all cached in the repository, so the tables rebuild offline from committed inputs.

One command regenerates everything from EDGAR: `npx tsx scripts/carry-terms/run.ts --refresh`. Run without the flag to rebuild from cache. Requests carry a descriptive User-Agent with a working contact address and run at four per second against the SEC's published ceiling of ten, with exponential backoff. Every endpoint used is free and public; no paid data source is involved.

Every source, on the face of the page

The universe is drawn from Form N-54A business development company elections on EDGAR, and every term is read from a Form 10-K filed by one of those companies. Each fund in the table above links to its own filing by accession number. 188 companies were screened out, each with its reason recorded in the dataset.

The full dataset — every fund record, every matched sentence, every exclusion and its reason — is served as JSON under a CC BY 4.0 licence. Cite it and it stays checkable; the pipeline that produced it rebuilds from committed inputs offline.
